END-USER LICENSE AGREEMENT The following is an End-User License Agreement ("EULA") between you ("User") and Source of Knowledge. ("SOK"). By using this [product], User hereby acknowledges that he or she has read and understood this EULA and expressly agrees to adhere to and be bound by all the terms and conditions. If User is entering into this EULA on behalf of User's employer ("Employer"), the license to use ("License") granted and restrictions and limitations recited herein apply to Employer as well as to User as a representative of Employer. Should User ceases working for Employer, Employer may continue to use this [product] under this EULA. The content ("Information") in this [product] is proprietary and copyrighted by [client] ("Client"). All rights are reserved. SOK grants User a non-exclusive License of the product and User may use "Information" contained therein solely for his or her own internal and non-commercial purposes. User hereby acknowledges that an additional License fee is payable for an additional user of the [product]. User may make one machine-readable copy as a backup. User may not (a) redistribute Information over any network (including any local area network); (b) rent, sell or offer for sale Information; (c) install the [product] on any networked drive, that is accessible by anyone other than User; (d) post any Information to any online service (including extranet, internet or bulletin board); (e) use or permit the use of Information or any part thereof, as a trademark or service mark, or claim any proprietary rights of any sort. SOK retains all rights not expressly granted by this EULA. User shall retain control and possession of the [product] at all times and shall exercise reasonable care in ensuring that it not fall in the possession of any party, internal or external, who is not licensed by this EULA. Using the [product] in a way not covered or specifically prohibited by this EULA, without the prior written consent of SOK, is a violation of the United States copyright laws, international treaty provisions and other applicable laws. SOK warrants this [product] to be free from defects in material and workmanship for the life of the [product], except in cases of abusive or negligent use. User's sole and exclusive remedy for a breach of this warranty is the replacement of the [product]. SOK makes no other warranty, either express or implied, including but not limited to any particular use or compatibility with any system, computer or workstation. Information is provided on an "as is" basis. SOK and Client expressly disclaim all warranties, expressed or implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose, and warranties as to accuracy, completeness or adequacy of Information. Information speaks as of the publication date. SOK and Client do not undertake to advise User of any change in Information or views contained therein. Information should not solely be relied on by User, and User agrees not to rely solely on Information for decision-making purposes. SOK does not warrant that the functions contained in the programs will meet User requirements, or that the operation of the programs will be uninterrupted or error-free. In no event will SOK and Client be liable for any errors, omissions or inadequacies in Information or for interpretations thereof. SOK and Client shall not be liable for any damages, including, consequential, indirect, special or incidental damages, such as damages for lost profit, business failure or loss, arising out of the use of Information, whether or not SOK and Client have been advised of the possibility of such damages. This EULA shall be governed and construed in accordance with the laws of the State of California. SOK shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction to obtain injunctive or other relief in the event that, in the opinion of SOK, such action is deemed necessary. Should any provision of this EULA is declared by a court of competent jurisdiction to be invalid, illegal or unenforceable, such provision shall be severed to the minimal degree necessary and the rest of the provisions shall remain in full force and effect. This EULA is the entire agreement between the parties and supersedes any other agreement or discussions, oral or written, and may not be changed except by a written signed agreement of all parties. ©2007 Source of Knowledge
